The Importance of Industry Parameters Discussed at the 2002 Annual Meeting

The qualitative and quantitative measurement of customer attrition is critical to measuring value created and value lost1. Due to the lack of an industry-wide parameter. CSAA teamed up with TRG Associates to establish the Attrition Project. The program was introduced at the 2001 CSAA Annual Meeting in Laguna Niguel, California and formally launched at the 2002 North American Monitoring Technology Symposium & Exhibition (NAMTSE) in Tucson, Arizona.

CSAA member and non-member companies are collecting information about their attrition and then sending it to TRG Associates, where they are being analyzed and transformed into an industry-wide parameter. We encourage all our readers to participate in this important project.

John Brady, president of TRG Associates, will present an update on the attrition information gathered from independent alarm companies around the US and Canada and from its work in the industry as it assists with the completion of due diligence related to transactions. The information will continue to be refined by company size, customer base type, geographic region and customer organization sales methodology.

Another informative seminar on industry parameters and their importance, will be presented on Wednesday, October 30, 8:00am in a two part panel, moderated by Michael B. Jones, ProFinance, Inc. The seminar, Alarm Industry Database and the Dealer – Operational Tool and Value Creator!, will propose the creation of an alarm industry database of financial parameters. Speakers will include John Murphy, Vector Security, Terrance Olah, Alarm Detection Systems, Russ Cersosimo, Guardian Protection and Anthony DiVento, Sentry Watch.

Panel One of this back-to-back, two panel session will be CEOs and CFOs of select CSAA alarm dealer/members to discuss how their respective management teams actively incorporate financial analysis into their operational plans and, wherever possible, try to compare their operational and financial results with other "like companies."

Panel Two will be the "View from the Outside" – representatives from the financial community (commercial banks, investment banks, etc.) to talk about the attributes and great value of a large-scale database for the industry.

Tyco Files Suit Against Kozlowski 
Criminal Charges also Filed by NY DA

Tyco International announced today that it has filed suit against its former Chairman and Chief Executive Officer, L. Dennis Kozlowski, charging that he misappropriated money and assets from the Company and engaged in a concerted pattern of conduct to conceal larcenous acts from the Board of Directors. 

The lawsuit accuses Kozlowski of fraud and self-dealing that included, among other actions: abusing Tyco's relocation and Key Employee Loan programs and obtaining under false pretenses loans that he used to fund personal expenditures; misappropriating for himself over $100 million, including unauthorized bonuses totaling $58 million and unauthorized loans of over $43 million; taking personal credit for more than $43 million in charitable donations that actually were made by Tyco; and engaging in a number of self-dealing transactions involving property he sold the Company at inflated prices and real estate that was used by him and his family without compensating Tyco. 

The lawsuit seeks to recover all funds misappropriated from Tyco for Kozlowski himself or awarded by Kozlowski to his senior executives and key managers without appropriate authorization from the Compensation Committee of the Board of Directors, plus damages and other forms of relief.
